Tim Chang is a partner in the Firm's Los Angeles office. Mr. Chang’s clients range from multinational public companies to medium and small privately held companies as well as individuals with high net worth.

Mr. Chang reads, writes and speaks fluent Chinese, which he frequently uses in his practice to assist clients on transnational transactions involving China, Taiwan, Hong Kong, and the U.S.  He often serves the position of outside General Counsel for Asian clients with respect to their legal affairs in the U.S., including coordination of litigation and supervision of intellectual property matters. He has written several journal articles related to "doing business" in Vietnam and China and legal status of Taiwan in the U.S. Courts published in the Los Angeles Business Journal, World Journal (Chinese American newspaper), Transnational Corporate Lawyers, National Lawyers Magazine, Practical Law, Construction Magazine and other publications.

Mr. Chang's practice focuses on business transactions/planning; mergers & acquisitions; corporate finance, real estate, dispute resolution and cross-border wealth planning. Some examples of his work include:

Mergers, Acquisitions and Reorganization

Represents various Asian electronic, software, medical device, pharmaceutical and food companies in acquisition of U.S. companies pursuant to either stock purchase, asset purchase, merger or stock exchange transaction, including acquisition of assets from bankrupt or financially distressed companies, tax-free reorganization, management buyout and joint venture.

Real Estate Ownership and Financing

Extensive experience in commercial real estate, including purchase and sale, financing, joint venture, leasing, development, property management, operation, workouts, foreclosure and dispute resolution.  The property types include hotels, office, multi-family, shopping centers, industrial, educational and religious.  Clients include owners, lenders (banks and funds), developers, investors, tenants and managers.

Corporate Governance and Compliance

Counsels companies and their boards of directors and officers on corporate governance best practices, including oversight and fiduciary responsibilities, board and committee structure, internal or independent investigations, executive employment and minority vs. controlling shareholders disputes/litigation.

Start-Up and Venture Capital Investment

Represents start-up companies in all phases of fund raising, including Preferred Stock financing, strategic alliance financing and bridge financing.

Cross Border Family Office and Asset Planning

Services U.S. clients with foreign wealth planning objectives and foreign clients, including family office, with U.S. investments’ estate and holding planning objectives. 

Insolvency and Financial Solutions

Advises companies and creditors on pre-bankruptcy petition rights and remedies, foreclosure process and alternatives to bankruptcy filing, including multi-jurisdictional concerns.

Nonprofit Organizations and Tax-Exempt Transactions

Advises families, public charities, churches, temples, private foundations, universities, governmental entities and mutual benefit associations in matters of formation, tax exemption and compliance, including cross-border charitable donation and transactions.
