Michael F. Klein is a partner in the firm’s San Diego office and Chair of the Health Care Practice Group. He also chairs the Firm’s Technology Committee and serves on the firm’s Executive Committee. For over 25 years, Michael has served as a skilled business attorney and trusted advisor to clients and their boards of directors. 

Michael advises clients across healthcare and other regulated industries, including physician organizations, independent practice associations (IPAs), management services organizations (MSOs), investors and entrepreneurs as they grow and restructure. His transactional expertise encompasses the purchase and sale of medical practices, group formations, national PC-MSO structures, mergers, strategic partnerships, and complex payor contracting. Additionally, Michael maintains a distinct focus on representing California’s state-wide system of nonprofit Regional Centers in business, compliance, contracting, and corporate governance matters.

Drawing on deep regulatory experience, Michael guides clients through fraud and abuse compliance and investigations, HIPAA and data security challenges, corporate practice of medicine (CPOM) issues, and workforce arrangements. He is skilled at helping telehealth providers scale their businesses within models designed to be 50-state compliant. Michael also routinely represents clients in connection with a wide range of government investigations and whistleblower matters in healthcare and other highly regulated industries.

While primarily a business and strategic advisor, Michael’s counsel is informed by his formidable background successfully litigating high stakes matters. Having navigated $25 million reimbursement arbitrations, defended hospitals and physician groups against claims by the DOJ, HHS, and the California Attorney General, along with prior engagements as outside investigatory counsel by the State of California, Department of Developmental Services, he leverages this extensive litigation experience to proactively identify risks and structure advice and transactions that withstand government scrutiny.
