John Paul Teague is a partner in the Firm’s San Diego office and a member of the Firm’s Corporate, Real Estate and Health Care Practice Groups. He advises clients on corporate transactions, mergers and acquisitions, real estate acquisitions and dispositions, commercial leasing, business structuring, corporate governance, and general business matters.

Mr. Teague represents individuals, families, entrepreneurs, closely held businesses, real estate owners, investors, domestic and international companies, and operating businesses across a wide range of industries. His clients include technology companies, healthcare and professional practice groups, hospitality businesses, real estate investors, manufacturing companies, educational institutions, agricultural businesses, supplement and nutraceutical companies, and international enterprises entering or expanding within the United States.

His transactional practice includes the purchase and sale of businesses and real estate assets, entity formation and restructuring, private company financings, commercial contract negotiation, leasing, franchise-related matters, and cross-border business structuring. Mr. Teague also advises clients on tax-efficient strategies for asset acquisition, preservation, reorganization, and transfer, as well as operational and compliance issues affecting growing and established businesses.

Mr. Teague also advises medical providers, healthcare businesses, and professional practices on corporate structure, governance, operations, and compliance, including professional corporations, partnerships, management services organizations, and related arrangements. His experience includes matters involving the corporate practice of medicine, professional services relationships, management service organization (MSO) structures, administrative services arrangements, ownership restrictions, and compliance-sensitive reorganizations.

Mr. Teague has represented clients in significant transactions involving ranch land, mining assets, hospitality properties, manufacturing facilities, commercial real estate, healthcare entities, technology companies, and supplement and nutraceutical businesses. His representative matters include the reorganization and sale of approximately 1,000,000 acres of ranch land; a Canadian public corporation’s approximately $70 million acquisition of a California mining corporation; the U.S. aspects of a butterfly reorganization valued in its entirety at approximately $2 billion; multiple asset acquisitions for an international vitamin, supplement, and nutraceutical conglomerate; the formation of U.S. subsidiaries for Dutch and French enterprises; the acquisition of a manufacturing facility in Ohio; Series A and Series Seed financings for technology and artificial intelligence companies; the acquisition and franchising of multiple hotel properties; and the sale of a Los Angeles hotel valued at approximately $115 million.

Mr. Teague also has substantial experience with commercial leasing and real estate matters. He has represented universities in leasing facilities, landlords and tenants in lease negotiations for large nightclub and entertainment venues, buyers and sellers in commercial property transactions, and a large California fruit supplier in the sale of a former company town in Northern California.

In addition to his transactional practice, Mr. Teague frequently assists the Firm’s litigation attorneys in complex disputes involving corporate transactions, real estate, securities, trade secrets, fiduciary duties, ownership disputes, and other business matters. His background in corporate and real estate transactions allows him to assist litigation teams in evaluating deal structures, governing documents, property records, financing arrangements, and business operations.

Before joining Musick Peeler, Mr. Teague practiced with Smaha Law Group, where he handled commercial and real estate transactions, corporate compliance matters, and general civil litigation.

Mr. Teague received his B.A. in Economics and Political Science, with minors in Japanese and Chinese, from Case Western Reserve University in Cleveland, Ohio. He earned his J.D. from the University of San Diego School of Law and his International M.B.A. from the University of San Diego’s Knauss School of Business, with a focus on finance.

Mr. Teague regularly serves as an attorney coach for the San Diego County High School Mock Trial Competition.
