E. Garrett Barlow
E. Garrett Barlow is a Partner and co-leader of the firm's Virginia and Washington, D.C. offices, where he advises businesses on corporate and securities matters, deal structuring, financing, transactions and litigation. He also counsels individuals and families on comprehensive wealth planning—from foundational estate documents to advanced strategies designed to preserve and protect generational assets.
Mr. Barlow has broad experience across the full spectrum of U.S. gaming and gaming-adjacent law, including Class II gaming, historical horse racing, games of skill, sweepstakes, and related regulatory matters. He advises clients on compliance, licensing, deal structuring, and novel questions at the intersection of technology and gaming law—including whether emerging digital products and gaming applications fall within the scope of regulated gaming or qualify for sweepstakes and promotional exemptions. Recognized for his expertise in the field, he is a General Member of the International Masters of Gaming Law.
Mr. Barlow is a member of the firm's Corporate & Securities group, where his practice encompasses both domestic and cross-border transactions. He advises on U.S. securities law compliance for foreign private issuers and cross-border transactions, including periodic reporting under the Securities Exchange Act of 1934, registration statements under the Securities Act of 1933, proxy and information circular preparation, and U.S. disclosure requirements in connection with underwritten and brokered financings involving U.S. investors. He also assists with private placement documentation and advises on securities law compliance for cross-border transactions. Additionally, he counsels non-U.S. companies seeking to access U.S. capital markets through the OTCQB and OTCQX on Depository Trust Company (DTC) eligibility—the process by which a company's shares are made eligible for electronic clearing and settlement through DTC.
Mr. Barlow is actively engaged in the startup and venture capital ecosystem. As a founder of several successful ventures, an investor in others and Treasurer of the Charlottesville Angel Network, he brings a business-minded approach to legal counsel—rooted in firsthand experience running, investing in and advising businesses across all stages of growth and transactions.
Mr. Barlow began his career in the tax division of a Big Four accounting firm, advising multinational corporations, partnerships, private equity and venture capital funds, hedge funds, trusts, and high-net-worth individuals on complex tax matters. He later joined a boutique tax and estate planning firm, further honing his expertise in wealth and business succession planning.
Mr. Barlow's transactional and regulatory practice extends to public entity law and energy matters. He is part of the firm's Public Entity Law and Oil and Gas / Energy practice groups, which works with municipalities and other public entities on public contracts and procurement, including power purchase agreements and other energy-related transactions.
His transactional practice includes advising on corporate restructurings, mergers and acquisitions, real estate financing and development, and conservation easements.
His litigation and dispute resolution experience is similarly broad. Mr. Barlow has represented clients in court, mediation, and arbitration involving employment disputes, insurance coverage, land use issues, IRS controversies, and asbestos-related claims.
Mr. Barlow is admitted to practice in Virginia, California, and Washington, D.C., and has appeared pro hac vice in courts across the country. He is proficient in Spanish and regularly advises a diverse and international clientele. He earned his J.D. from BYU Law School, where he served as Senior Editor of the BYU Law Review, and holds a B.S. in Accounting from Brigham Young University's School of Accountancy.
